The role  

Source Governance is part of HPX Group, a rapidly growing professional services business providing exceptional legal, risk and compliance services. Source Governance specialises in customised high-quality outsourced company secretarial and governance support to ASX listed entities, public and private companies, across a variety of sectors.  

We are looking for a dynamic and experienced company secretary to join our team in Melbourne, Sydney or Brisbane to contribute to as well as share in the growth and success of, the business.  

The role will see you appointed as named senior company secretary to a portfolio of clients, offering exposure to a diverse range of Boards in a variety of industry sectors.  

Key Responsibilities: 

  • Delivering high-quality company secretarial and governance services across your client portfolio
  • Managing relationships with boards, executives, shareholders, registries, lawyers, and regulators
  • Advising on governance obligations under the Corporations Act, ASX Listing Rules, and Corporate Governance Principles
  • Assisting with Board and Shareholder meetings, including preparation of agendas, papers, and minutes
  • Maintaining corporate records and statutory registers
  • Developing and maintaining best practice governance frameworks, policies, and procedures
  • Ensuring clients remain compliant with statutory obligations
  • Contributing to business growth and participating in business development initiatives

About you 

We’re on the lookout for a Senior Company Secretary - a good human who’s technically strong, commercially minded, and thrives on delivering exceptional governance services. 

You will have:

  • Minimum 7+ years’ experience as a Company Secretary or in a company secretariat function (ASX listed company experience is essential)
  • Strong knowledge of the Corporations Act 2001 (Cth), ASX Listing Rules, and Corporate Governance Principles
  • Relevant degree and/or governance qualifications (e.g. GIA)
  • Strong client and stakeholder relationship skills
  • Excellent planning, organisational and time management skills
  • Meticulous attention to detail and exceptional written communication
  • The ability to work both autonomously and as part of a collaborative team
