The role 

Source Governance is part of HPX Group, a rapidly growing professional services business providing exceptional legal, risk and compliance services. Source Governance specialises in customised high-quality outsourced company secretarial and governance support to ASX listed entities, public and private companies, across a variety of sectors. 

We are looking for a dynamic and experienced Associate Company Secretary with an enthusiastic mindset to join our rapidly expanding team in Sydney, Melbourne or Brisbane. 

The role will be responsible for assisting in the provision of compliance and secretariat services across a number of ASX listed, public and private companies and will provide the support required to develop towards becoming a Company Secretary in your own right. 

Key responsibilities include but are not limited to: 

  • Supporting senior Company Secretaries in the provision of a comprehensive range of company secretarial and governance services, including assisting with client management and ASIC compliance. 
  • Manage the ASIC annual review and ASIC industry funding process for companies within your portfolio and in the portfolio of any team members that you support. 
  • Preparing and lodging ASIC forms and providing high quality advice on ASIC compliance. 
  • Providing a comprehensive range of company secretarial services and high-quality relationship management with clients. 
  • Assisting Company Secretaries with the conduct of board, committee and shareholder meetings, including drafting agendas, collating and distributing papers, preparing skeleton minutes and taking minutes.  
  • Manage client entities in the entity management database, CAS 360, ensuring that it is kept up to date. 
  • Maintaining corporate records and statutory registers. 

About you 

  • Experience working within Company Secretariat function and/or associated client servicing and an understanding of Corporate Governance and the compliance framework in which companies existAn understanding of key Corporations Act legislation. 
  • Proven ability to connect with people and build strong relationships. 
  • Exceptional attention to detail and accuracy in written and verbal communications. 
  • Ability to work positively and productively within a team as well as with clients, including Executive Teams, Boards of Directors, and other stakeholders. 
  • Desire to seek exposure to a diverse client base across a variety of industries. 
  • Ability to multitask in a fast-paced working environment. 
  • Ability to work autonomously whist maintaining a motivated, adaptable, and proactive attitude. 
  • Possess an entrepreneurial and innovative mindset with a desire to be part of a fantastic team and collaborative culture.
