As a key member of the senior leadership team, the newly created role of General Counsel and Company Secretary contributes to GemLife's strategy and operations on legal, corporate governance and regulatory matters.

The General Counsel and Company Secretary plays a key role as an in-house advisor, ensuring GemLife's activities, growth initiatives and operations comply with all relevant laws and regulations, and that risks are identified and effectively managed. The successful candidate will work closely with a range of stakeholders offering counsel across a range of complex matters. Working within a high-performing, outcome focused culture of high commercial and operational acumen, this role will be responsible for a broad range of duties including:

Some of the Key Responsibilities

  • Supporting the delivery of required business outcomes in line with legal and regulatory requirements
  • Management of the development and implementation of legal and commercial frameworks for major procurements
  • Supporting strategic project delivery and management of contractual arrangements through the provision of legal and commercial advice and project management support
  • Supporting the management of litigation and major claims
  • Perform Company Secretary responsibilities
  • Deliver training and promote a culture of compliance and risk awareness across the Group
  • Drive process improvements in governance and documentation
  • Coordinate Board and Committee meetings including preparing agendas and Board and Committee papers

What You’ll Bring

  • A minimum of 5 years’ experience as an in-house General Counsel specialising in corporate and / or construction law
  • A pragmatic approach to the commercial and construction legal landscape
  • Expertise in contract law with experience negotiating complex contracts
  • ASX listed company experience (an advantage)

Additional Requirements

  • This is a fast-paced and high impact role, requiring the ability to adapt quickly and manage changing priorities
  • Infrequent travel between GemLife resort locations may be required in this position
