GemLife is seeking an experienced and commercially astute Company Secretary to join our executive team and play a pivotal role in shaping governance across a growing ASX-listed real estate investment platform.

Reporting to the Board and CEO, you will act as a trusted advisor on governance, compliance, and regulatory matters, ensuring the Group meets its obligations while supporting effective Board operations and strategic decision-making.

Some of the Key Responsibilities

  • Act as a trusted advisor to the Board and Chair on governance, fiduciary duties, and best practice
  • Coordinate Board and Committee meetings, ensuring high-quality papers, agendas, and minutes
  • Lead compliance with ASX Listing Rules, Corporations Act, and continuous disclosure obligations
  • Oversee ASX announcements, ASIC lodgements, and shareholder communications
  • Maintain governance across a complex group structure, including trusts, development entities, and operating vehicles
  • Support investor relations activities including results, AGM, and reporting cycles
  • Maintain statutory registers and corporate records across the Group
  • Partner with internal stakeholders to strengthen governance, risk, and compliance frameworks

What You’ll Bring

  • A minimum of 5 years’ experience as an in-house Company Secretary within an ASX-listed business
  • Strong knowledge of ASX Listing Rules, Corporations Act, and corporate governance frameworks
  • Experience working within REITs, property, funds management, or complex group structures highly desirable
  • Tertiary qualifications in Law, Commerce, or Governance
  • Membership with the Governance Institute of Australia (GIA) or equivalent preferred
  • Strong stakeholder engagement skills with the ability to influence at Board level
  • Commercially minded with a pragmatic and solutions-focused approach
