Your Role
As the Paralegal - Legal Operations & Board Support, you will be pivotal in supporting the efficiency and governance of the legal team and board activities.
The ideal candidate will demonstrate expertise in legal operations, board administration, and document management, serving as a linchpin between legal professionals and key organisational stakeholders.
You will report in to the Chief Legal Officer & Co Sec and be part of the Legal and Privacy Team.
The key areas of accountability in the role are:
- Provide high-level support of all Board-related processes.
- Point of contact for the CEO, Chief Legal Officer, Executive Leadership Team and key stakeholders regarding Board requirements and functions.
- Collaborative relationship directly with business executives, working hand in hand to generate a clear Board agenda, ensuring that valuable and relevant papers are presented, factoring in the stakeholders' interests and the directors' standards.
- Prepare out-of-cycle briefing papers and circular resolutions.
- Manage and coordinate the company's Statutory Register.
- Draft Board minutes templates for Company Secretary in preparation for Board meetings.
- Load and release Board packs through the Diligent platform to the directors.
- Manage the Board calendar and meeting schedule.
- Attend to all statutory filings, ensuring records are maintained and up to date.
- Ensure all company records are complete and up to date.
- Create and manage the company trademark, patent, and business name register.
- Onboarding new directors to the Board.
- Review grammar, spelling, formatting, consistency, and style guide conventions for all documents provided to the Board.
- Manage and regulate ASIC and Legal & Privacy Team invoices.
- Project management and implementation of new technology to assist the operations of the Co Sec and Legal & Privacy team.
- Coordinate and maintain the Legal & Privacy team's budget; liaise with finance business partners, including drafting, managing and ensuring positive tracking compared to financial year budget.
- Contract portfolio management and coordination.
- Work with the business to arrange the execution of contracts and internal procurement paperwork.
- Recognising and repairing Team inefficiencies, streamlining processes and navigating new, more equitable ways of working.
- Record and report on Team goals, OKRs, workstreams, capacity, and external spending. Maintaining precise, quantitative and qualitative data regarding work performance, intake and output.
- Company Administrator rights managing DocuSign, Contract Management Systems, and Diligent.
Your Experience
- Expertise in legal operations, board support, and document management.
- Outstanding organisational skills and attention to detail in managing sensitive legal and corporate materials.
- Ability to draft and present complex legal and governance documents effectively.
- Strong project management capabilities focused on optimising legal operations and supporting board functions.
- Excellent communication and interpersonal skills for interacting with board members, executives, and stakeholders.
- Demonstrated discretion and professionalism with confidential information.
- Proficiency in legal and board management software and systems.
- Experience in legal operations, board support, or a similar specialist administrative role such as senior paralegal, within a legal or corporate environment.
- Great writing and communication skills.
- Proven track record in document management and supporting leadership teams or boards.
- Growth mindset and can-do attitude a must.
